Brief description deal / Deal outline
BB Capital, a Dutch private equity firm, has acquired the Dutch childcare platform KidsVision. BB Capital acquired the company through its subsidiary KidsKonnect, a Dutch ERP systems company that is active in the childcare sector. KidsKonnect serves more than 600 customers, which is equivalent to about 75% of the Dutch childcare market.
After this transaction Kidskonnect registers 85% of all the Dutch kids in childcare. Working together on "taking care of childcare" the platform has become the world largest integrated childcare software system.

KidsKonnect groep is vorig jaar, dankzij een investering van participatiemaatschappij BB Capital Investments, ontstaan uit de krachtenbundeling van de kinderopvang specialisten Flexkids, Konnect, HHBrainware en Tecsoft. De nieuwe organisatie, die haar hoofdkantoor in Almere zal vestigen, opereert sinds 2020 onder de naam KidsKonnect 

Het softwarepakket van KidsVision richt zich specifiek op gebruikers van Microsoft Dynamics en is daarmee aanvullend aan de software van KidsKonnect. KidsVision zal onder de eigen naam beschikbaar blijven, als een zelfstandig label binnen de groep.

BB Capital Investments is gevestigd in Den Haag en is een bij de AFM geregistreerde fondsbeheerder. Vorig jaar is onder het motto ‘Private Equity made easy’ gestart met een fund-of-funds. 
Daarnaast richt BB Capital zich op direct investments voor private investeringen in groeiende MKB ondernemingen met een internationale focus. De investeerders van BB Capital Investments bestaan voornamelijk uit Nederlandse ondernemers en vermogende families, waarvoor BB Capital Investments maatwerk kan bieden.

Why should this deal win the Award for Best Small Cap Deal 2020?
As the companies were in real strong competition to each other, it needed Award Winning Skills to visualize the social impact of the merger to the childcare sector and convince the management teams to jointly work on a strategic business plan. While setting up this joint plan, both companies were still in competition in different tenders. BB Capital Investments played an important role in bringing the teams together and visualizing the joined future and the possibilities in increasing value for both clients as well for the shareholders. After the merger the company has the scale to introduce Artificial Intelligence and Automated planning tools to make the life of parents that are depending on childcare more easy as they now have the possibility to real time change their childcare days.

Deal rationale:
Creating the necessary scale to enroll new technologies into the childcare software market and to create a world leading integrated childcare software player, ready for international expansion.
